![]() Effective SEC Services Help Secure Solid GrowthAn investor group acquired a private company in the oil and gas exploration services industry. Gordon, Hughes & Banks performed initial audits of the private company for the purpose of obtaining private equity and debt financing. Subsequently, the private company merged with a publicly traded company in a complex reverse acquisition transaction. GHB then provided audits for the 8-K merger filings with the Securities and Exchange Commission; and assisted the company in its proxy filings and related pro forma financial disclosures. These were needed to obtain shareholder approval of issuance of additional shares to complete the merger. Post merger, GHB became the public company's auditors and performed quarterly reviews of its 10-Q filings, as well as the annual audit for inclusion in its 10-K filing. Issues here involved goodwill valuation and non-cash equity transactions. Since then, Gordon, Hughes & Banks has audited subsequent acquisitions in Texas, one of several other states in which we are also registered to do business. One of GHB's acquisition audits included foreign operations for which we employed our BDO Seidman Alliance affiliate in that country.
